Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Echoreply (the “Service”), operated by Nuvo Ventures LLC (“Echoreply”, “we”, “us”). By creating an account or using the Service you agree to these Terms.

1. The service

Echoreply is a software product that uses AI to draft and post replies to reviews on connected business profiles (starting with Google Business Profile, expanding to other channels). You configure the tone and rules, and the system generates and, if you authorize auto mode, posts replies on your behalf.

2. Who can use it

You must be at least 18 years old and have the legal authority to bind the business you represent. You may connect only business profiles that you own or have explicit authorization to manage. You may not use Echoreply on behalf of a business without its consent.

3. Account responsibilities

You are responsible for:

• Keeping your sign-in credentials confidential.
• All activity that occurs under your account.
• The accuracy of the business information you provide.
• The replies that are posted from your account, whether auto or manual.
• Compliance with the rules of the underlying platforms (Google Business Profile, Meta, etc.).

4. AI-generated content

Echoreply uses third-party AI models to draft replies. These models can occasionally produce inaccurate, biased, or otherwise inappropriate content. We add safety filters (legal threats, medical complaints, urgency, violence, spam are never auto-posted) and require your approval for risky cases, but you remain responsible for any reply posted from your account.

Output is provided as-is. You agree to review auto-mode results periodically and to switch to manual mode if your business context requires extra caution (regulated industries, sensitive customer situations, legal disputes, etc.).

5. Acceptable use

You agree NOT to:

• Use the Service to post spam, defamatory, deceptive, harassing, or illegal content.
• Generate fake reviews or reply on behalf of users who did not consent.
• Reverse engineer, decompile, or otherwise attempt to extract our source code.
• Resell, sublicense, or white-label the Service without a written agreement with us.
• Attempt to circumvent rate limits, billing, or access controls.
• Use the Service in any way that violates Google's, Meta's, or any other connected platform's terms.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

6. Subscriptions, trial, and billing

Echoreply is sold as a monthly subscription. Plans, prices, and features are listed on our pricing page. We may change pricing for new signups with reasonable notice. Existing customers will be notified before their plan price changes.

New accounts include a 14-day free trial. We collect your payment method at signup and charge it automatically when the trial ends, unless you cancel before day 14. Cancellations made before the trial ends are not charged.

You can cancel at any time from the billing settings in the app or by emailing support. Cancellation takes effect at the end of the current billing period; we do not prorate refunds for partial months.

Payments are processed by Stripe. Failed payments may result in suspension of service. Taxes are your responsibility unless we are legally required to collect them.

7. Refunds

All sales are final after the trial period. If you believe you were charged in error, contact us within 30 days and we will review the case in good faith. We may issue refunds at our discretion.

8. Intellectual property

Echoreply, the software, the brand, the marketing materials, and the underlying AI prompts and code are owned by us. You receive a limited, non-exclusive, non-transferable license to use the Service while your subscription is active.

You retain ownership of your business data, your reviews, and the replies you generate. By using the Service, you grant us a license to process that data solely to provide the Service to you.

9. Termination

You may terminate your account at any time. We may terminate or suspend your account if you violate these Terms, fail to pay, or use the Service in ways that harm us, other users, or third parties. On termination, your access stops and your data is handled per our Privacy Policy.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated content will be free of mistakes.

Connected platforms (Google, Meta, etc.) can change their APIs, terms, or policies at any time, which may affect the Service. We are not responsible for such third party changes.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

12. Indemnification

You agree to defend and indemnify Echoreply from any claim brought by a third party arising from your use of the Service, your reviews, the replies you post, or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to that jurisdiction.

14. Changes to these Terms

We may update these Terms. When we make material changes, we will notify active customers by email at least 14 days before the change takes effect. Continued use after the effective date means you accept the updated Terms.
